These Terms of Use (“Terms”) form an agreement between you and CYPHLAB (PRIVATE) LIMITED, the operator of Talkly AI. They apply to the Talkly AI mobile application, talklyai.com, and related services (the “Services”).
1. Eligibility and guardians
Talkly AI's account onboarding is intended for people aged 13 and older. If you are under the legal age of majority where you live, your parent or legal guardian must review and agree to these Terms for you. You must be legally permitted to use the Services in your country.
2. The Talkly AI service
Talkly AI provides English-learning features that may include AI conversations, pronunciation and speaking practice, grammar assistance, translations, dictionary tools, personalized plans, reading and listening exercises, games, progress tracking, favorites, streaks, and leaderboards. Some features require an internet connection, an account, device permissions, or a paid plan.
Features, usage limits, supported devices, and availability may change as we improve the Services. We do not promise that every feature will be available in every country, language, device, or plan.
3. Accounts and account security
- Provide accurate information and keep it reasonably up to date.
- Keep your password, PIN, sign-in token, and device secure.
- Do not share, sell, or transfer your account.
- Tell us promptly if you believe your account has been accessed without permission.
- You are responsible for activity carried out through your account unless applicable law says otherwise.
You may sign in through supported methods such as email, Apple, Google, or a participating mobile operator. Those providers may have separate terms.
4. Acceptable use
You must not:
- use the Services for unlawful, harmful, fraudulent, abusive, or deceptive activity;
- harass others or submit hateful, sexually exploitative, violent, infringing, or malicious content;
- attempt to bypass usage limits, payment controls, safety measures, or access restrictions;
- reverse engineer, scrape, copy, resell, overload, disrupt, or introduce malware into the Services, except where law expressly permits;
- use automated systems to access the Services without our written permission; or
- use AI output to impersonate, defraud, or make high-impact decisions about another person.
We may investigate suspected misuse and restrict or suspend access when reasonably necessary to protect users, the Services, or third parties.
5. Your content and feedback
You keep any rights you have in text, voice, reports, or other content you submit. You give us a limited, worldwide, non-exclusive licence to host, process, transmit, reproduce, and display that content only as needed to operate, secure, support, and improve the Services.
You confirm that you have the rights needed to submit your content and that it does not violate law or another person's rights. If you send ideas or feedback, we may use them without restriction or payment to you.
6. AI output and educational purpose
Talkly AI is a supplementary learning tool. It is not a school, accredited qualification, exam authority, or a substitute for professional educational, legal, medical, financial, or other expert advice. We do not guarantee a particular score, fluency level, job, visa, admission, or other outcome.
7. Our intellectual property
The Services—including their software, design, brand, logos, videos, lessons, exercises, games, graphics, audio, and original content—are owned by or licensed to CYPHLAB (PRIVATE) LIMITED and protected by applicable laws.
We grant you a limited, personal, revocable, non-exclusive, non-transferable licence to use the Services for lawful, non-commercial English learning in accordance with these Terms. No other rights are granted.
8. Paid features
Purchases, subscriptions, trials, renewals, cancellations, and refunds are also governed by our Terms & Conditionsand the rules of the store or operator that processed the purchase. Deleting the app or your Talkly AI account does not automatically cancel a subscription.
9. Privacy
Our Privacy Policy explains how we handle personal information, voice and text submitted to AI features, analytics, purchases, device permissions, and account deletion.
10. Third-party services
The Services rely on third parties such as app stores, authentication providers, cloud infrastructure, AI providers, subscription systems, and mobile operators. Their products and websites are governed by their own terms and privacy policies. We are not responsible for third-party services outside our control.
11. Availability and changes
We may update, suspend, limit, or discontinue all or part of the Services for maintenance, security, legal, commercial, or technical reasons. Where practical, we will provide notice of material changes, but urgent changes may be made without advance notice.
12. Disclaimers
To the fullest extent permitted by law, the Services are provided “as is” and “as available”. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. Nothing in these Terms excludes a warranty or consumer right that cannot legally be excluded.
13. Limitation of liability
To the fullest extent permitted by law, CYPHLAB (PRIVATE) LIMITED and its officers, employees, and contractors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or loss of data, profit, revenue, goodwill, or opportunity arising from the Services.
Our total liability for claims relating to the Services will not exceed the amount you paid for Talkly AI during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law or to liability that cannot legally be limited.
14. Suspension and termination
You may stop using Talkly AI at any time and may delete an eligible account as described on our Delete Account page. We may suspend or terminate access if you materially breach these Terms, create risk or harm, fail to pay an amount due, or if required by law.
Provisions that by their nature should continue—such as ownership, disclaimers, liability limits, and dispute provisions—survive termination.
15. Governing law and disputes
These Terms are governed by the laws of Sri Lanka, without regard to conflict of law principles. Before filing a claim, please contact us and allow a reasonable opportunity to resolve the issue informally. Subject to mandatory consumer rights, the courts of Sri Lanka will have jurisdiction over disputes relating to these Terms.
16. Changes to these Terms
We may update these Terms to reflect changes to the Services or law. We will update the date above and provide additional notice when a change is material. Continued use after revised Terms take effect means you accept them. If you do not agree, you must stop using the Services.
17. General terms
These Terms, the Privacy Policy, and any applicable purchase conditions form the agreement between you and us for the Services. If a provision is unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not transfer your agreement without our consent; we may transfer it as part of a reorganization, sale, or by operation of law.
